VENDOR AGREEMENT

Between:

RevAction Inc., a company duly incorporated under the laws of Canada, registration number 1308807-3, with its registered office at [Insert Address], hereinafter referred to as "RevAction" or the "Platform";

And

[Vendor Name], with its registered office at [Insert Address], hereinafter referred to as "the Vendor."

1. Purpose

This agreement sets forth the terms and conditions under which the Vendor may sell products on RevAction's marketplace. The platform provides a digital space for vendors to offer their products to buyers. The Vendor agrees to comply with the Platform's rules and policies.

2. Commission and Payment

  • The Vendor agrees that RevAction will deduct a 10% commission from the gross selling price of each product sold via the Platform.
  • Commissions are automatically calculated at the time of sale and deducted from the total payment due to the Vendor.
  • Payments to the Vendor will be made via PayPal, or any other payment method agreed upon by the parties.
  • PayPal or other transaction fees may be deducted from the total payment. The Vendor acknowledges that these fees are separate from RevAction's 10% commission and are the Vendor's responsibility.
  • The Vendor will receive the remaining balance after deduction of the 10% commission and applicable transaction fees.

3. Vendor Responsibilities

The Vendor agrees to:

  1. Accurately describe and represent all products listed on the Platform.
  2. Maintain sufficient stock to fulfill orders.
  3. Ensure timely shipping and delivery of sold products.
  4. Comply with all applicable laws, including product safety and labeling requirements.
  5. Provide professional customer service and handle returns appropriately.

4. Platform Rights and Responsibilities

RevAction agrees to:

  1. Provide the Platform for the sale of products.
  2. Process payments and deduct the 10% commission as indicated.
  3. Provide access to sales reports and analytics.
  4. Maintain secure and reasonably reliable operation of the Platform.

5. Term and Termination

  • This agreement remains in effect until terminated by either party.
  • Either party may terminate the agreement with 30 days' written notice.
  • RevAction may terminate immediately if the Vendor breaches this agreement, including any failure to comply with Platform policies or applicable laws.

6. Liability

  • The Vendor is responsible for the quality, legality, and delivery of its products.
  • RevAction is not liable for claims, losses, or damages arising from the Vendor's products or issues related to PayPal transactions.

7. Governing Law

This agreement shall be governed by and construed in accordance with the laws of [Province/Territory], Canada.

8. Miscellaneous

  • Any amendment to this agreement must be made in writing and signed by both parties.
  • This agreement constitutes the entire agreement between the parties concerning the subject matter hereof.
